I don't know what's happening... when I drag my picture over, it's not the same... and yes, the picture is flattened... is there a setting I messed with or something?
The only thing different to PS is that I installed an action by Nicole Van... I didn't change any settings and I had no problems with it last night when I did another layout... what could be going on?

Close PS and try again. If that doesn't work, restart, lol.
I've had that happen once or twice with CS2 and that usually fixed it. Otherwise you might try un-installing that action. I don't know why the action would be causing troubles, but if that's the only thing that's different it's a good place to start.
ETA: Also check the colorspaces of the LO and the photo. They might be different for some random reason and causing issues.

I'm guessing it's because your layout is in RGB8 and the photo is in RGB16.

Definitely what Julie said. I've had it happen to me in CS2, 4 and 5. It's always been the RGB8 vs RGB16 thing.

on the template go to edit-assign profile and change it to your working profile and see if that helps
when there's a # in the name on the top it means there's no color profile set to the image. Your photo has a * which means it's your current working profile. If you change the template under edit, the profiles will become the same and your image should look the same on both :) HTH

Thanks so much Meg... this is what worked
and thanks girls for the ideas... even the 8 bit pictures were doing it to and a reboot didn't work either... totally weird tho that my one picture is opening up from LR as RGB/16... but who cares, it's working now LOL
